These Terms and Conditions (“Terms”) govern your access to and use of the DivestWorld platform at divestworld.com (the “Platform”). DivestWorld is an India-based online intermediary platform that connects business sellers, business buyers, franchisors, franchisees, startup founders, and investors.
By creating an account, accessing the Platform, or using any of its services, you agree to be bound by these Terms together with our Privacy Policy, Refund and Cancellation Policy, and Risk Disclosure (collectively, the “Agreements”). If you do not agree, please do not use the Platform.
1. Nature of the Service
DivestWorld is an online intermediary platform. We provide tools for listing, discovery, communication, valuation reference, and payment processing. We are not a party to any transaction between users.
We do not act as a broker, dealer, investment advisor, financial planner, escrow agent, lender, or insurer. We are not registered with the Securities and Exchange Board of India (SEBI), the Reserve Bank of India (RBI), or any other financial regulator. Nothing on the Platform constitutes investment advice, financial advice, legal advice, or a recommendation to buy or sell any business, franchise, security, or asset.
The accuracy, legality, completeness, and quality of any listing, valuation estimate, financial figure, or representation made on the Platform is the sole responsibility of the user who posts it. You agree to conduct your own due diligence and obtain independent professional advice before entering into any transaction.
2. Eligibility
You may use DivestWorld only if you:
- Are at least eighteen (18) years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872.
- Are not barred from receiving services under the laws of India or any other applicable jurisdiction.
- Provide accurate, current, and complete information during registration and keep it updated.
- Hold the necessary corporate authority where you register on behalf of a company, partnership, or other entity.
3. Account Registration and Verification
You must register an account to access most features. You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us immediately at support@divestworld.com if you suspect unauthorised access.
We may require you to complete identity and document verification (Know Your Customer or KYC) before listing, transacting, or accessing certain features. We may reject, suspend, or terminate accounts that fail verification, provide false information, or violate these Terms.
4. User Roles
The Platform supports the following roles, each with role-specific features and obligations.
- Business Sellers — users listing an operating business for sale or transfer.
- Business Buyers — users seeking to acquire an operating business.
- Franchisors — users offering franchise opportunities.
- Franchisees — users seeking to acquire a franchise.
- Startup Founders — users raising capital or strategic partnerships for early-stage ventures.
- Investors — users seeking to fund startups in exchange for equity, debt, or other instruments.
You may operate in more than one role, provided you comply with the obligations of each.
5. Listings, Content, and Verification
When you create a listing or post content on the Platform, you represent and warrant that:
- The information is true, accurate, and not misleading.
- You have the legal right to post and to transact in the asset described.
- The listing does not violate any law, third-party right, or these Terms.
- Any financial figures, audited statements, and projections are based on a reasonable basis.
We may, but are not obliged to, review listings before they go live. We reserve the right to moderate, edit, suspend, or remove any listing at our discretion. Approval of a listing does not constitute endorsement, verification, or warranty by DivestWorld.
6. Subscriptions, Fees, and Commissions
Use of the Platform may be free or subject to payment, depending on the role and feature. Specific charges are described below.
- Subscription plans. Recurring fees for premium features such as direct messaging, contact visibility, listing promotion, and search filters. Plans, prices, and features are described on the pricing page and may change from time to time.
- Commission. On the successful conclusion of a transaction facilitated by the Platform, such as the acceptance of an offer or the signing of a deal, DivestWorld is entitled to a percentage commission as published on the pricing page or as separately agreed. Both parties to a transaction are jointly and severally liable for the commission unless otherwise agreed in writing with DivestWorld.
- Optional services. Valuation reports, listing boosts, document services, and other add-ons offered from time to time.
All payments are processed through Razorpay or any other payment processor we may adopt. Prices are inclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) is charged where applicable. Refunds are governed by our Refund and Cancellation Policy.
7. Communications and Mediated Inquiries
You may use the Platform's messaging system to communicate with other users about listings, offers, and transactions. You agree that your messages may be reviewed by DivestWorld for moderation, fraud prevention, dispute resolution, and compliance purposes. Communications conducted off-platform are not covered by our protections.
For certain transactions, DivestWorld may offer a mediated inquiry mode in which messages are reviewed before delivery. This service is provided as a safety measure. It is not a guarantee of any outcome and does not make DivestWorld a party to your communication.
8. User Conduct
You agree not to:
- List businesses, franchises, or investments that you are not legally entitled to transact in.
- Misrepresent financial figures, ownership, regulatory approvals, or any material fact.
- Solicit funds in violation of SEBI, RBI, or other applicable Indian law, including any unregistered public solicitation of investment, deposits, or chit funds.
- Use the Platform for money laundering, terrorist financing, or any other unlawful purpose.
- Circumvent the Platform to avoid commission, contact other users off-platform with the intent to evade fees, or scrape data for competing services.
- Attempt to access another user's account, decrypt data, or exploit security vulnerabilities.
- Upload malware, attempt denial-of-service attacks, or otherwise damage the Platform.
- Post content that is defamatory, obscene, hateful, infringing, or otherwise unlawful.
- Impersonate any person, role, or entity, or misrepresent your affiliation.
- Use automated systems such as bots, scrapers, or crawlers to access the Platform without our prior written permission.
Violation of this section may result in immediate suspension, termination, forfeiture of fees paid, and where applicable, civil or criminal proceedings.
9. Intellectual Property
All Platform content other than user-submitted content, including the DivestWorld name and logo, page layouts, code, graphics, and editorial copy, is owned by DivestWorld or its licensors and is protected by Indian copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, sell, or create derivative works without our prior written consent, except as expressly permitted by these Terms.
10. User-Submitted Content
You retain ownership of the content you submit to the Platform, including listings, photographs, descriptions, documents, and messages. By submitting content, you grant DivestWorld a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, display, reproduce, modify (for formatting purposes only), and distribute that content for the purpose of operating, promoting, and improving the Platform. This licence terminates when you delete the content, except where retention is required by law or to resolve a pending dispute.
11. Confidentiality Between Users
Listings often involve commercially sensitive information. Where parties exchange confidential information through the Platform, we recommend executing a written non-disclosure agreement before sharing material non-public information. DivestWorld is not responsible for enforcing non-disclosure agreements entered into between users.
12. Third-Party Services
The Platform integrates with third-party services including, without limitation, Razorpay for payments, Hostinger for hosting and email, and Fast2SMS for SMS delivery. Your use of those services is subject to their respective terms and privacy policies. DivestWorld is not responsible for the practices of third-party providers.
13. Suspension and Termination
You may close your account at any time by writing to support@divestworld.com. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or pose a risk to the Platform or other users. On termination, you remain liable for any unpaid commissions or other fees accrued before termination.
14. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, DivestWorld disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of information, and non-infringement. Without limiting the foregoing, DivestWorld does not warrant:
- That any listing, valuation, financial figure, or projection is accurate, current, or complete.
- That any user is who they claim to be despite our verification efforts.
- That any transaction will conclude on terms acceptable to you, or at all.
- That the Platform will be uninterrupted, secure, or error-free.
15. Limitation of Liability
To the maximum extent permitted by law, DivestWorld, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost goodwill, or loss of business opportunity, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising out of or relating to the Platform shall not exceed INR 0.
16. Indemnification
You agree to defend, indemnify, and hold harmless DivestWorld and its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorney fees, arising out of or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any law or third-party right.
- Any transaction you enter into through the Platform.
- Any content you submit to the Platform.
17. Dispute Resolution and Arbitration
The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration shall be New Delhi, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to Section 17 (Arbitration), the courts at New Delhi, India, shall have exclusive jurisdiction over any matter not subject to arbitration.
19. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil disorder, labour disputes, government actions, or failures of telecommunications or internet infrastructure.
20. Changes to These Terms
We may amend these Terms from time to time. Material changes will be notified by email or by a prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
21. Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force. These Agreements (Terms and Conditions, Privacy Policy, Refund and Cancellation Policy, Risk Disclosure) constitute the entire agreement between you and DivestWorld and supersede all prior agreements on the subject matter.
22. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. DivestWorld may assign or transfer these Terms to any successor or affiliate, including upon incorporation as a private limited company.
23. Grievance Officer
For any complaint regarding these Terms, your account, or your experience on the Platform, you may contact our Grievance Officer as set out in our Privacy Policy. Complaints are acknowledged within 24 hours and resolved within 15 days, in accordance with applicable law.
